The terms that govern website use, sourcing services, quotations, procurement and commercial relationships with TEKOUK INDUSTRIES LLC.
1. About TEKOUK
TEKOUK INDUSTRIES LLC ("TEKOUK", "we", "us", or "our") is a company established in the Emirate of Sharjah, United Arab Emirates. We provide industrial sourcing, supplier identification, procurement support, supply coordination and related business services. TEKOUK may introduce or coordinate with independent manufacturers, suppliers, logistics providers and other third parties.
2. Scope of These Terms
These Terms & Conditions govern your use of this website and, where applicable, your purchase or use of TEKOUK services. Individual quotations, proposals, purchase orders, service agreements or other written commercial documents may contain additional terms. If there is a conflict, the specific signed or accepted commercial document will prevail for that transaction to the extent permitted by applicable law.
3. Website Information
The website is provided for general business and sourcing information. Product descriptions, specifications, availability, lead times, prices, supplier information, images and other information may change without notice. Website content does not constitute a binding quotation, offer, guarantee of availability, or acceptance of an order unless expressly stated in writing by TEKOUK.
4. RFQs and Quotations
Submitting a Request for Quotation (RFQ) does not create an obligation for TEKOUK to accept the request or place an order. TEKOUK may request additional technical, commercial, compliance or end-use information before sourcing or quoting. Quotations are valid only for the period stated in the quotation. Supplier pricing, capacity, raw-material costs, exchange rates, freight, duties, taxes and other commercial conditions may change before an order is confirmed.
5. Sourcing and Procurement Services
TEKOUK acts as a sourcing and procurement intermediary unless a particular transaction expressly states otherwise. TEKOUK does not manufacture products merely by sourcing or supplying them. Unless expressly agreed in writing, TEKOUK does not guarantee a third-party supplier’s future production capacity, delivery performance, quality consistency, financial condition or continued availability. We use commercially reasonable efforts to identify and evaluate suitable suppliers based on the information available to us, but customers remain responsible for approving suppliers and final specifications for their intended application.
6. Technical Specifications and Acceptance
Customers are responsible for providing accurate specifications, drawings, standards, quantities, tolerances, certifications, packaging requirements and intended-use information. Before production or shipment, customers should verify the final specification and commercial terms stated in the applicable quotation, pro forma invoice, purchase order or other transaction document. Any inspection, testing, sample approval or third-party quality-control requirement should be agreed in writing before production where applicable.
7. Prices, Taxes, Shipping and Import Costs
Unless expressly included in a written quotation, prices do not include customs duties, import taxes, VAT or other governmental charges, insurance, freight, storage, inspection, certification, destination charges or other logistics costs. Responsibility for such costs will be determined by the agreed Incoterm and transaction documents.
8. Service Fees and Payments
Strategic Sourcing and other service fees are fees for professional sourcing work and are separate from the purchase price of products unless expressly stated otherwise. Payment terms, due dates, deposits, recurring charges and supply fees will be stated in the applicable offer or invoice. TEKOUK may suspend work or withhold deliverables where an amount is overdue, subject to applicable law and the relevant commercial agreement.
9. Cancellation
Where TEKOUK has already commenced sourcing, supplier outreach, qualification, research, negotiation or other professional work, service fees may become non-refundable to the extent stated in the applicable offer or agreement. Product orders may be cancelled only in accordance with the applicable quotation, purchase order, supplier terms and written agreement. Third-party costs already incurred for a customer may remain payable.
10. Third-Party Suppliers
Suppliers and manufacturers introduced or coordinated by TEKOUK are independent third parties. Their products and services are subject to their own specifications, warranties and commercial terms unless TEKOUK expressly provides its own warranty in writing. Nothing on this website creates an agency, employment, partnership or joint-venture relationship between TEKOUK and a supplier or customer.
11. Confidentiality
Each party should protect non-public commercial, technical and pricing information received from the other party and use it only for the relevant business purpose. Confidentiality obligations do not apply to information that is public, already lawfully known, independently developed, lawfully received from a third party, or required to be disclosed by law or a competent authority.
12. Intellectual Property
The website, branding, text, graphics, layouts, photographs and other content are owned by or licensed to TEKOUK and may not be copied, reproduced, modified, distributed or commercially exploited without prior written permission, except where permitted by applicable law. Customer-provided drawings, specifications and other materials remain the customer’s property, subject to the rights needed for TEKOUK to perform the agreed services.
13. Limitation of Liability
To the maximum extent permitted by applicable law, TEKOUK will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from third-party supplier performance, production delays, transportation delays, market changes, customs actions, regulatory changes or other events outside TEKOUK’s reasonable control. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Force Majeure
TEKOUK will not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, sanctions, government action, port or transport disruption, utility failures, cyber incidents, supplier failures, shortages of materials, labour disruption or other circumstances that could not reasonably have been prevented or overcome.
15. Electronic Communications
You agree that quotations, approvals, confirmations and other communications may be exchanged electronically. UAE legislation recognizes electronic offers and acceptance and does not deny a contract validity merely because it is made through electronic documents. TEKOUK may rely on electronic communications and records in accordance with applicable law.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Sharjah. Any dispute, controversy or claim arising out of or in connection with these Terms, a quotation, order, service or business relationship with TEKOUK shall be subject to the exclusive jurisdiction of the competent courts of Sharjah, United Arab Emirates, to the extent permitted by applicable law.
17. Changes to These Terms
TEKOUK may update these Terms from time to time. The version published on this website will apply to future website use. Existing transactions will continue to be governed by the terms agreed for those transactions unless otherwise required by applicable law or expressly agreed in writing.
